2018 Annual Meeting Notice
You are cordially invited to attend the 2018 Annual General Meeting (the “Annual Meeting”) of Chief Financial Federal Credit Union (“Chief Financial”), which will be held at Chief Financial Credit Union, located at 200 Diversion Street, Rochester, MI 48307 at 5:30 p.m., Eastern Time, on Tuesday, August 21, 2018, for the following purposes:
As Ordinary Business
- To elect each of the following persons to our board of directors (the “Board”), to serve a full term of 3 years.
- Pauline Clark (Bloomfield, MI)
Ms. Clark was a trusted employee at General Motors for 36 years and, during her tenure there, served as International Benefit Representative for 30 years until her retirement in 2013. Since 1970, Ms. Clark has served the membership of Chief Financial Credit Union in capacities including Credit Union Booster, Supervisory Board member and finally as a member of the Board.
- Charles Tiedeman (Clarkston, MI)
Mr. Tiedeman retired from General Motors after 42 years of service and, during his time there, worked as skilled trades, UAW appointed representative for the attendance program and was elected President of UAW 653 for over 6 years. A veteran, Mr. Tiedeman served in the United States Army as a Specialist E5 and has served on the Board for nearly 5 years.
- Robert Shaner, Ph.D (Shelby Township, MI)
Dr. Shaner currently serves as the Superintendent for the Rochester Community School District. Prior to this appointment, he served as a Second Lieutenant in the United States Marine Corps; Police Officer; Teacher, Assistant Principal and Principal; and Executive Director of Instruction and Technology. Dr. Shaner oversees a workforce of nearly 1500 and an annual operating budget of $160 million.
- To transact any other business as may properly be transacted at the Annual Meeting.
Notes About the 2018 Annual General Meeting
Audited Financial Statements. At the Annual Meeting, our members will have the opportunity to discuss and ask questions regarding our audited financial statements for our fiscal year ended December 31, 2017. Member approval of the audited financial statements will not be sought at the Annual Meeting.
Receipt of Notice; Eligibility to Vote at Annual General Meeting. Our Board has fixed March 31, 2018, close of business day, as the record date for determining which of our members are entitled to receive copies of this notice by mail. Owners of a joint account may both be members of the credit union without opening separate accounts. For joint membership, both owners are required to fulfill all of the membership requirements including each member purchasing and maintaining at least one share in the account.
Nomination for Vacancies by Petition. Nomination for vacancies may also be made by petition on a form approved by our Board and signed by 500 Chief Financial Federal Credit Union members in good standing. The nomination by petition MUST BE RECEIVED ON OR BEFORE JULY 9, 2018 by the Chief Financial election auditing firm and must include: Nomination Form completed in entirety, Petition Form completed and signed in entirety by all 500 members and Nominee Certificate including a statement of qualifications and biographical data completed in entirety, signed and notarized.
